What InRange is
InRange is an interface hosted at in-range.app (the “Interface”) that enables users to view and operate their concentrated liquidity positions in Orca Whirlpools (the “Protocol”), a set of open-source programs deployed on Solana that InRange does not develop, operate or control. The Interface is developed and maintained by InRange Cripto LLC, a limited liability company to be formed under Wyoming law, United States, state registration [NUMBER], business address [FULL ADDRESS] (“InRange,” “we”).
The Interface reads public Solana information and presents it to users, and prepares, at their request, operations that only users may approve and sign in their own wallets. InRange has no access to users' wallets, private keys or funds and does not independently execute operations on their behalf.
Users agree to these Terms through the acceptance procedure in section 1. The Privacy Policy explains data processing and is available before contracting; acknowledging it does not replace specific consent where required.
1 Acceptance and capacity
1.1. Before using functions that prepare operations, users must read these Terms and expressly confirm agreement in the Interface itself, which displays the version and date of the accepted text. Merely connecting a wallet does not constitute acceptance. Users who disagree must not use those functions. In this version the Interface does not request a wallet message signature for acceptance and does not keep a personal record of it, because there is no proprietary database: the confirmation governs access and stays in the user's browser. [Outstanding counsel decision: if individual, verifiable proof of acceptance is required, it depends on proprietary storage — wallet, version, hash and timestamp — and, if a wallet signature is also required, on reconciling that signature with the security guidance the Interface itself gives users, which is never to sign a loose message, the most common scam vector in cryptoassets.]
1.2. Use is limited to persons 18 or older with full legal capacity.
1.3. Users acting for a legal entity represent that they have authority to bind it to these Terms.
2 Nature of the service: noncustodial, without independent execution for users
2.1. No custody of users' assets. InRange holds no private keys or permissions to move assets intended for positions. Assets remain in users' wallets or Protocol programs, subject to those programs' rules and risks. The LLC receives only service fees due to it and holds no customer balance for withdrawal.
2.2. No autonomous execution. Every operation prepared by the Interface is presented to the user and submitted only after approval and signature in the user's wallet. The Interface may transmit an already signed transaction but cannot authorize a new operation without the user. We do not use delegated keys or standing authorizations to operate positions. InRange cannot reverse confirmed transactions.
2.3. No fiat intermediation. The Interface does not receive, convert or deliver legal tender. There are no deposits, withdrawals or conversions in BRL, USD or other fiat currencies.
2.4. Wallet-based access. The standard flow does not require registration with a name or identity document. The wallet serves as an operational reference; other processed data is described in the Privacy Policy. A signature proves wallet control, not necessarily civil identity. InRange cannot recover passwords, recovery phrases or lost funds. Legal duties may require restrictions or additional checks, appropriately disclosed before collection.
2.5. No recommendations. Interface information, including values, earnings, return estimates and simulations, is calculated from public data using the method shown on screen and is for informational purposes only. It is not investment, legal, accounting or tax advice, a recommendation or an offer. The user alone decides whether to operate. The same applies to the artificial-intelligence assistant described in clause 3.5: it explains how the Interface and the underlying concepts work, and does not recommend a pool, range, amount or token, does not predict prices and does not promise returns.
3 What the Interface does
3.1. Displays the connected wallet's liquidity positions in the Protocol: value, composition, price range, uncollected earnings and return estimates with stated methods and assumptions.
3.2. Depending on actually available features, the Interface prepares range adjustments, earnings collection, position closing and position opening. Swaps required for adjustments or openings may use third-party protocols and routing, with parameters presented to the user. A standalone Jupiter swap (the “Router”) is planned and is not part of the initial offering described in this draft; availability requires technical and legal validation and advance disclosure of conditions and fees.
3.3. Before requesting a signature, the Interface simulates the operation on the network and displays the result. If simulation fails, no signature is requested. Simulation reduces but does not eliminate the risk of a different actual result; see section 6.
3.5. Artificial-intelligence assistant. The Interface offers an assistant that answers questions in natural language about how InRange works and about concentrated liquidity, drawing on a proprietary, closed knowledge base. To generate the answer, the following are sent to an artificial-intelligence model provider: the user's question, the last messages in the conversation, the nickname they chose and a summary of the connected wallet's positions without the wallet address, as described in the Privacy Policy. The nickname is freely chosen, is not verified and need not match the user's name. InRange does not store the conversation on a server: the nickname and history stay in the browser. Answers are informational, may contain errors and are subject to clause 2.5.
3.4. History, alerts and other features may be added with relevant information updates. Any automation involving delegated authority requires a new assessment and specific agreement; acceptance of these Terms does not authorize it.
4 Fees
4.1. InRange charges service fees for certain operations prepared through the Interface. Fees are charged within the user-signed operation, in cryptoassets, and sent to an InRange on-chain wallet. Each fee is displayed before signing. No fee is charged without appearing on screen. While InRange's treasury wallet is not configured, the Interface charges no fees and discloses that condition on screen.
4.2. The fee schedule will be available at [LINK]. Conditions established for this draft are: 0.15% of the amount swapped in a range adjustment or opening, capped at USD 5 per operation, with an exemption for positions below USD 200; and 5% of earnings collected through the Interface. The collection fee is calculated on collected earnings and is neither a promise of returns nor delegated management. The standalone swap has no approved rate and cannot be charged merely on the indicative study range of 0.50% to 0.75%. [Validate before publication: USD price source and timing, exemption base and discount application to each fee category.]
4.3. Network processing fees charged by Solana, network-required account rent, and Protocol and Router fees are not charged by InRange and are displayed separately when estimable.
4.4. InRange may change the fee schedule with [30] days' notice in the Interface. Changes do not affect already signed operations.
4.5. Founders. The first 500 wallets to pay an aggregate of at least USD 1 in InRange service fees (“Founders”) will, starting with the next operation, pay 50% of the prevailing service fee for an indefinite period while the Interface exists. The available-slot counter is public in the Interface. Founder status is tied to the wallet address, is nontransferable and creates no right to a cash amount.
5 Referral program
5.1. The referral program is planned and is not part of the initial offering described in this draft; availability requires implementation and advance disclosure of conditions. Once active, the program will allow users who have already paid an InRange service fee to generate a referral code on the conditions in this section.
5.2. A wallet that has never paid an InRange fee and uses a code before its first fee-bearing operation is linked to that code as a referred wallet once and permanently.
5.3. For 12 months from the referred wallet's first fee, 10% of each service fee, including collection fees, paid by that wallet is transferred to the referrer's wallet within the same operation. The referred user receives a 5% service-fee discount for 3 months. Referral and Founder discounts do not stack; the larger applies.
5.4. Rewards are paid solely in cryptoassets, on-chain, within the referred user's operation. InRange does not hold, accumulate or pay rewards outside that operation and does not convert rewards to fiat.
5.5. The program ends when the Interface reaches 2,000 active wallets, meaning wallets that paid a fee in the previous 30 days, or 12 months after [start date], whichever comes first. Closure will be announced in the Interface with [30] days' notice. Existing referral relationships continue generating rewards until their 12-month periods expire.
5.6. InRange may suspend or cancel participation by codes or wallets using artificial, automated or fraudulent means to generate referrals or fees. This does not affect rewards already paid on-chain, which are irreversible.
5.7. Referrers are responsible for their tax and legal obligations on rewards, without displacing the LLC's own duties, including legally required withholding, identification and reporting. The program is not intended to create employment, representation, agency, partnership or a mandate; classification depends on applicable law and facts. [Reviewer: confirm requirements before enabling payments to wallets without civil identification.]
6 Risks accepted by the user
By using the Interface, users acknowledge and accept, among others, the following risks:
- Protocol and Router: third-party programs may contain defects, suffer attacks, change or be discontinued. InRange does not control them or claim to have audited them; liability is determined under section 9 and applicable law.
- Market: cryptoasset prices fluctuate; a liquidity position may be worth less than the deposited assets (“impermanent loss”). Displayed return estimates extrapolate recent historical figures, with the extrapolation factor shown alongside, and are not forecasts.
- Execution: prices can change between simulation and confirmation; an operation may fail, revert or differ from estimates; the network may become congested or unavailable. Network fees paid for failed operations are not refundable.
- Range: if the price is or moves outside the chosen range, the position stops earning fees and becomes composed of one asset. The Interface warns when a requested range excludes the current price; users choose the range.
- User wallet and environment: users alone are responsible for device, browser, wallet and recovery-phrase security.
- Third parties: displayed or tradable tokens are created by third parties without InRange analysis, approval or recommendation; they may be illiquid, volatile or fraudulent.
- Regulatory: cryptoasset regulation changes; the Interface may need to be modified, restricted or discontinued in one or more jurisdictions.
7 Permitted use and restrictions
7.1. Users may not use the Interface in violation of sanctions or legal restrictions applicable to InRange or the operation. The LLC is subject to applicable U.S. rules, including OFAC rules. We may restrict access and features based on jurisdiction, person and wallet-address controls without taking custody of user assets. Nationality alone will not be equated with sanctions without a legal basis. The Interface described does not, in this version, apply automatic geographic blocking or wallet-address filtering. [Define the policy and actual controls before publication.]
7.2. Prohibited uses include unlawful activity, money laundering or financing prohibited activity; market manipulation; attacks, unlawful reverse engineering, overloading or interference with the Interface or servers; automated use circumventing limits; and fabricated referrals.
7.3. Users alone are responsible for complying with their jurisdiction's laws, including tax laws.
8 Availability and service changes
8.1. The Interface is provided “as is” and “as available.” InRange does not guarantee uninterrupted or error-free availability or compatibility with every wallet or browser and may modify, suspend or discontinue features or the entire Interface at any time, with notice in the Interface where possible.
8.2. Because InRange does not custody assets intended for positions, discontinuing the Interface does not transfer those assets to the LLC. Access through other interfaces or directly through the Protocol depends on the network, Protocol and user's wallet functioning.
9 Liability
9.1. InRange is responsible for its own obligations and failures attributable to the Interface under applicable law. A user's signature does not by itself remove liability for defects, incorrect information or breach of legal duties.
9.2. Market, network, Protocol, Router, token and user-environment risks will be assessed according to the source of harm and applicable law. Risk descriptions do not remove InRange liability for its own failures, disclosure duties or other legally established liability.
9.3. This draft sets no general monetary liability cap. Any limitation permitted for particular relationships must be drafted and validated by counsel, expressly preserving liabilities and rights that cannot be limited.
9.4. Nothing in these Terms excludes or limits liability that applicable law prohibits excluding or limiting.
10 Indemnification
To the extent permitted by law, users are responsible for damages proven to arise from their unlawful acts or attributable breaches of these Terms. There is no duty to indemnify InRange for the company's own failures or waiver of mandatory rights. Whether an obligation exists and its extent depend on the facts and applicable rights of defense.
11 Intellectual property
11.1. Rights in the Interface's brand, name, logo, design, texts and proprietary code belong to the LLC or are used under valid authorization, according to applicable ownership instruments and licenses. No rights beyond those needed for permitted use are granted. [Before publication, document Eric's ownership of the project from inception and the LLC's usage rights, including contributor instruments and third-party licenses.]
11.2. [In this version no InRange code is published under an open-source license and the repository is private. Keep this clause only if and when publication occurs, identifying the license in the repository; use of that code would follow the respective license and would grant no trademark rights.]
11.3. The Protocol, Router and wallets belong to their respective owners.
12 Personal data
Personal-data processing is described in the Privacy Policy, published at /privacidade, which forms part of these Terms.
13 Changes to these Terms
Material changes will be announced in the Interface with [PERIOD TO VALIDATE] advance notice, except urgent legal or security changes explained to users. Where new acceptance is required, operational functions will depend on express confirmation of the new version under section 1. Continued use alone will not replace that record. Changes will not apply retroactively to completed operations.
14 Governing law and dispute resolution
14.1. Wyoming law and relevant U.S. federal law are proposed, subject to mandatory rules and nonwaivable user rights. [Counsel must validate this choice and precisely identify the competent Wyoming forum for relationships in which that selection is valid.] The LLC member's Paraguayan residency does not automatically change these Terms' governing law.
14.2. Users may contact [SUPPORT EMAIL] for an amicable resolution without restricting access to authorities or courts or suspending statutory rights and deadlines.
Addendum for users in Brazil
14.3. Applicable mandatory Brazilian rules, including consumer and personal-data protection, are preserved. In a conflict, this addendum prevails over any provision reducing nonwaivable rights.
14.4. These Terms do not impose mandatory arbitration on Brazilian consumers or prevent access to the competent forum under Brazilian law, including their place of residence where applicable.
14.5. Availability, risk, indemnification, amendment and liability-limitation provisions do not exclude remedies, warranties or other rights under Brazilian law. Risk disclosures and transaction signatures do not waive those rights.
15 General provisions
15.1. If a provision is held invalid, the remaining provisions remain effective.
15.2. Tolerating a breach does not constitute a waiver.
15.3. These Terms, the Privacy Policy and fee schedule constitute the entire agreement between the user and InRange concerning Interface use.
15.4. InRange communicates with users through the Interface [and by email or Telegram where supplied by the user].
15.5. This V3 has corresponding Portuguese and English versions with the same content and clause numbering. [Determine the reference language after bilingual legal review.] Any language rule must respect clear-information duties and mandatory user rights.
